01Acceptance of these terms
These Terms of Service form a binding agreement between you and LogitAtlas. By creating an account, listing a dataset, placing an order, or otherwise using the platform, you agree to these terms and to the Privacy Policy that is incorporated by reference.
If you are agreeing on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. In that case, references to you also mean the entity you represent.
We may update these terms from time to time. Material changes will be posted on this page with a new effective date and, when reasonably possible, communicated to active account holders by email. Continued use of the platform after a change takes effect means you accept the updated terms.
02Who can use the platform
You must be at least 18 years old to create an account and must be legally capable of entering into contracts in your jurisdiction. The platform is intended for business use. Consumer accounts are not offered.
You must not use the platform if any of the following apply to you or your company:
- You are located in, or ordinarily resident in, a country that is subject to comprehensive sanctions by the United States, the European Union, or the United Kingdom.
- You are a specially designated national, blocked person, or otherwise appear on a sanctions list issued by the US Office of Foreign Assets Control, the EU, or the UK.
- A regulator has banned you from offering, acquiring, or facilitating the sale of data in your industry.
We reserve the right to refuse service to any individual or company at our discretion where that refusal is lawful.
03Accounts, companies, and roles
You create a personal account using an email address and password, or through a supported single sign-on provider. You may belong to one or more company workspaces, each of which has its own listings, orders, conversations, and payouts.
Within a company workspace, each member has one of three roles: Owner, Admin, or Member. Owners can delete the workspace and transfer ownership. Admins can invite other members, manage listings, and view financial information. Members can respond to conversations and manage their own listings when the workspace permits it.
You are responsible for:
- Keeping your password confidential and enabling multi-factor authentication where offered.
- Any activity that happens through your account, including activity by other people who use your credentials.
- Keeping the email address and other contact details on file current, so that we can reach you about security alerts, payouts, and legal notices.
If you discover unauthorized access to your account, notify us as quickly as possible so we can suspend sessions and investigate.
04Dataset listings
Sellers may publish listings for datasets they own or have the right to license to third parties. Each listing must include an honest description of the dataset, its coverage, update frequency, delivery mode, licensing terms, and any sampling or preview the seller makes available.
Sellers must not list datasets that:
- Contain personal information in a way that violates applicable privacy laws, including the GDPR, UK GDPR, CCPA, LGPD, PIPEDA, and other local equivalents.
- Were scraped from, or derived from, services whose terms prohibit redistribution.
- Contain or primarily consist of copyrighted content you do not have the right to license.
- Contain security credentials, financial account numbers, biometric identifiers, health information, or other categories that require additional safeguards you cannot demonstrate.
We may remove any listing that we reasonably believe violates these rules, applicable law, or the rights of a third party. Repeat violations may result in suspension or termination of the seller's workspace.
05Orders, escrow, and release of funds
When a buyer places an order, Stripe collects the full purchase price plus applicable taxes. Funds are held by Stripe on behalf of the platform until one of the following happens:
- The buyer confirms delivery of the dataset, in which case the seller's share is released to the seller's connected Stripe account and the platform's commission is retained.
- The release window expires without a confirmation or dispute, in which case funds are automatically released on the same terms.
- The buyer opens a dispute before the release window expires. Funds remain in escrow until an administrator resolves the dispute based on the listing, the conversation, and the evidence submitted.
The release window is published on each listing and in the order confirmation. It is currently 72 hours by default but may change over time. The window for a particular order is the window that applied at the time of checkout.
The platform does not act as a trustee or escrow agent in a regulated sense. Funds are held in Stripe's accounts under its platform processing arrangements. Nothing in these terms transfers to the platform ownership of amounts that are, in substance, held for a seller.
06Commission and fees
The platform earns revenue only when a transaction completes. A commission is deducted from the seller's payout on each released order. The commission rate is shown on each listing before a buyer checks out and in each seller's dashboard.
Stripe charges payment processing fees that are separate from the platform commission. Processing fees are deducted by Stripe and are visible in each payout report.
Taxes are the responsibility of the buyer and seller as applicable in their jurisdictions. Where the platform is required to collect sales tax, VAT, or GST, those amounts will be itemized separately at checkout.
07Delivery modes and credentials
Datasets are delivered in one of three ways chosen by the seller at listing time:
- Secure file transfer, in which the seller uploads files to platform-managed storage and the buyer receives signed, time-limited download URLs on payment.
- Seller-hosted link, in which the seller keeps files on their own infrastructure and shares a private URL that is revealed to the buyer only after escrow is funded.
- Scoped API credentials, in which the seller issues API keys or OAuth tokens with the scope and expiry agreed in the listing.
Credentials and private links shown to a buyer are confidential. Buyers must not share them with third parties outside the scope of the license they accepted at checkout.
The platform encrypts credentials at rest and makes them visible only to the paying buyer. Sellers may rotate or revoke credentials at any time where the dataset license and the order allow it.
08Dataset licenses
Each listing specifies the license under which the data is sold. The buyer accepts that license at checkout. The license is a contract directly between the buyer and the seller. The platform is not a party to that license and does not make warranties about the data on the seller's behalf.
Unless a listing says otherwise, licenses are non-exclusive, non-transferable, and limited to the buyer's company for internal business purposes. Resale, sublicensing, and public redistribution require explicit written permission from the seller.
Sellers must not grant licenses that purport to:
- Transfer rights the seller does not hold.
- Override statutory consumer or data protection rights.
- Require a buyer to indemnify the seller for the seller's own unlawful acts.
09Disputes and refunds
A buyer may open a dispute before the release window closes if the delivered dataset does not match the listing, is inaccessible, infringes a third party's rights, or is otherwise materially different from what was offered.
When a dispute is opened, funds remain in escrow and the platform notifies the seller. Both parties may submit evidence through the order conversation. An administrator will review the listing, the conversation, the delivery, and the evidence, and will decide whether to release funds to the seller, refund them to the buyer, or split the amount.
The administrator's decision is final for the purposes of escrow release. Nothing in this section limits the buyer's or seller's right to pursue remedies in court or in another dispute resolution forum, except where otherwise agreed.
10Acceptable use
In addition to the listing rules above, you must not:
- Use the platform to send unsolicited commercial messages, phishing attempts, or malware.
- Reverse engineer, decompile, or probe the platform for vulnerabilities except through a security disclosure program if one is in place.
- Interfere with other users' ability to access or use the platform.
- Collect personal data from the platform except where strictly necessary to complete a transaction and in line with the Privacy Policy.
- Use automated means to scrape listings or create accounts.
Violations may result in warnings, suspension, or termination of your account and company workspace, as well as reporting to law enforcement where appropriate.
11Intellectual property
The platform, including its software, design, branding, text, and documentation, is owned by LogitAtlas or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive license to use the platform in accordance with these terms.
Sellers retain all ownership rights in the datasets they list. Buyers obtain only the rights expressly granted by the applicable license.
If you submit feedback, suggestions, or feature requests, we may use them without obligation to you, provided we do so in a way that does not disclose any of your confidential information.
12Warranties and disclaimers
The platform is provided on an 'as is' and 'as available' basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that datasets listed by sellers are accurate, complete, lawful, or fit for any purpose. Buyers are responsible for performing their own due diligence, including requesting samples, reviewing licensing, and validating data quality before purchase.
Nothing in these terms excludes any liability that cannot be excluded under applicable law.
13Limitation of liability
To the maximum extent permitted by law, in no event will LogitAtlas or its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, arising out of or in connection with your use of the platform, even if advised of the possibility of such damages.
Our aggregate liability for direct damages arising out of or in connection with these terms will not exceed the greater of the amounts paid by you to the platform in commissions and fees in the twelve months before the event giving rise to the liability, or one hundred United States dollars.
These limitations apply regardless of the legal theory on which a claim is based and even if a limited remedy fails of its essential purpose.
14Indemnity
You will indemnify, defend, and hold harmless LogitAtlas and its affiliates from and against any claim, loss, damage, liability, cost, or expense, including reasonable attorney fees, arising out of your use of the platform, your breach of these terms, your violation of any law, or your violation of the rights of a third party.
This indemnity is without prejudice to any direct contractual remedies you may have against a buyer or seller under a dataset license, which are not affected by this provision.
15Suspension and termination
You may stop using the platform at any time and may close your account subject to resolving any open orders and disputes.
We may suspend or terminate your account, remove any content, or restrict your access to the platform if you breach these terms, if your use of the platform creates risk or legal exposure, or if your account is inactive for an extended period.
On termination, provisions that by their nature should survive, including those relating to intellectual property, disclaimers, limitations of liability, and governing law, will survive.
16Governing law and jurisdiction
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of laws rules.
Any dispute arising out of or relating to these terms or the platform will be submitted to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware, except that we may seek injunctive or other equitable relief in any court of competent jurisdiction.
If any provision of these terms is held to be unenforceable, the rest of the terms will remain in effect, and the unenforceable provision will be interpreted so as to best reflect the parties' intent.
